Terms and Conditions

This promotion (“Promotion”) is available to customers of TradeZero Canada Securities ULC (“TZC”). Do not participate in this Promotion if you do not agree with all of the following terms and conditions.

Eligible New Account Holders

The Promotion is available to all new TZC account holders (“Eligible New Account Holder”) who: (1) open a TZC account through the TZC and Simply Digital Technologies Inc. DBA Coin Smart (“CoinSmart”) promotion web https://www.tradezero.ca/coinsmart; and (2) fund their TZC account with a single initial deposit equal to or greater than $500 (USD) in immediately available funds received by TZC (“Eligible Deposit”).

Promotion Period

The Promotion is available to Eligible New Account Holders while the Promotion is active. TZC reserves the right to modify or end the Promotion at any time and without prior notice to you.

Platform Selection Process

After an Eligible New Account Holder makes an Eligible Deposit, they must visit the TZC Client Portal at tradezero.ca/account to select the ZeroPro securities trading platform (“ZeroPro”) as their initial trading platform. (“Platform Selection Process”). The Promotion is only available to ZeroPro users.

Platform Discount

After the Platform Selection Process, Eligible New Account Holders who have made an Eligible Deposit of $500 to $9,999 (USD) will receive ZeroPro for free (i.e., without charge for monthly software fees and referred to as the “Platform Discount”) for the period comprising the remaining days of the month in which they complete the Platform Selection Process and the following three months thereafter.

After the Platform Selection Process, Eligible New Account Holders who have made an Eligible Deposit of $10,000 (USD) or more will receive the ZeroPro Platform Discount for the period comprising the remaining days of the month in which they complete the Platform Selection Process and the following six months thereafter.

All Platform Discounts will appear as a charge and a refund on an Eligible New Account Holder’s monthly statements for the Platform Discount period.

The maximum Platform Discount to be awarded in any one-month period shall be $59 (USD). The Platform Discount shall not include market data enhancements such as OTC Markets Level 1 ($5 USD per month) or OTC Markets Level 2 ($15 USD per month).

Locate Discount

After the Platform Selection Process, Eligible New Account Holders who have made an Eligible Deposit of $500 to $9,999 (USD) will receive a 10% discount* on all TradeZero locate and pre-borrow charges incurred for non-easy to borrow stocks (referred to as the “Locate Discount”) for the period comprising the remaining days of the month in which they complete the Platform Selection Process and the following three months thereafter.

After the Platform Selection Process, Eligible New Account Holders who have made an Eligible Deposit of $10,000 (USD) or more will receive the Locate Discount for the period comprising the remaining days of the month in which they complete the Platform Selection Process and the following six months thereafter.

*The Locate Discount does not apply to (1) overnight borrow charges including overnight borrow charges on pre-borrowed stocks, Continuous Net Settlement fees, margin interest charges, or expenses incurred for holding a short position overnight for one or more nights, or (2) any applicable regulatory fees, including but not limited to FINRA Trading Activity Fees or SEC fees.

The Locate Discount cannot be combined with any other available discount on locate or pre-borrow charges, including Platinum discounts.

Restrictions

This Promotion is only available to Eligible New Account Holders. This Promotion is not open in any jurisdiction where TZC or CoinSmart are not authorized to do business, where their products and services would be contrary to the laws, rules and regulations governing the securities and cryptocurrency industries, or where otherwise prohibited by the local laws, rules, and regulations of any applicable jurisdiction. Employees of NYSE Arca Equities, NYSE American, and Nasdaq Stock Market are not eligible for this promotion.

This Promotion is not available to any clients of TradeZero Inc. or TradeZero America, Inc. or any of their other affiliates other than TZC.

The Promotion is not available to anyone who currently has, or in the last 6 months has had, a TZC account.

ACAT transfers or other transfers of securities to a TZC account do not satisfy the Eligible Deposit requirement. Multiple account deposits cannot be combined to meet the requirements of an Eligible Deposit.

TZC will rescind or otherwise cancel the Platform Discount and Locate Discount if an Eligible New Account Holder completes a withdrawal from their TZC account at any time after they complete an Eligible Deposit if such a withdrawal leaves their TZC account balance below the level of the relevant Eligible Deposit.

Disputes

TZC, its parent company, and affiliated entities (collectively “TradeZero Entities”) are distinct from and share no common ownership, control, or affiliation with CoinSmart or any of its parent companies or affiliates, if any. An Eligible New Account Holder agrees that their use of CoinSmart services does not create any obligation or duty, whether express or implied, on the part of the TradeZero Entities. TradeZero Entities shall not be responsible for and shall have no liability to any Eligible New Account Holder for any dispute arising out of an Eligible New Account Holder’s use of CoinSmart’s products or services.

By participating in the Promotion, Eligible New Account Holder agrees that the maximum amount in controversy to be awarded in any dispute with the TradeZero Entities shall be the cash value of the combined Locate Discount and Platform Discount. All disputes arising out of the Promotion shall be governed by the Eligible New Account Holder’s customer agreement with TZC.
